These Terms of Service (the "Terms") constitute a binding agreement between you ("you", "your", "user") and 01.xyz ( "01" , "we", "us", "our"), governing your access to and use of the website, applications, APIs, user interfaces, smart-contract front-ends and related services (collectively, the "Services").

By accessing or using the Services you agree that you have read, understood, and will comply with these Terms. If you do not agree, you must not access or use the Services.

01.xyz acts as a front-end interface to enable interaction with underlying smart-contracts and blockchain networks (for example via the NordVM engine). We do not take custody of user funds or private keys. You are solely responsible for your wallet, your private keys or seed phrases, and all on-chain transactions you initiate or authorise.

By accessing or using the Services, you represent and warrant that:

• You are at least the age of majority in your jurisdiction and have the full right, power, and authority to enter into these Terms and to use the Services.
• You are not barred from using the Services under any applicable law.
• You are not a person or entity, and are not using the Services on behalf of a person or entity, that is the subject of sanctions administered or enforced by any governmental authority, including without limitation the United Nations Security Council, the U.S. Department of the Treasury's Office of Foreign Assets Control ("OFAC"), the U.K. Office of Financial Sanctions Implementation ("OFSI"), the European Union, or any other relevant sanctions authority.
• The 01 frontend is not accessible to users or entities that are residing in, located in, incorporated in, or citizens of the following jurisdictions: United States, Canada, Cuba, Iran, North Korea, Syria, Myanmar, Russia (and any Russian-occupied regions) — and other regions where use of the Services would be contrary to applicable law or regulation.
  Restrictions may apply not only based on residency or location, but also to citizenship, corporate incorporation, or operational presence in a restricted jurisdiction.
• By using the Services, you confirm and represent that you are not a resident, citizen, or entity organized, located, or operating in any restricted jurisdiction , and that you are not otherwise subject to any applicable sanctions or prohibitions under relevant laws and regulations.
• You agree that you will not use any technology (such as VPNs, proxies, or similar methods) to circumvent or disguise your location or identity for the purpose of accessing the Services in violation of this Section.

We reserve the right, in our sole discretion and without prior notice, to restrict, suspend, or disable access to the 01 frontend and any related functionality (including trading, order placement, or wallet interaction) for any user, wallet address, or entity that we reasonably believe is, or has become, associated with a restricted jurisdiction, person, or entity appearing on any applicable sanctions list, including those administered by the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC), the European Union, or the U.K. Office of Financial Sanctions Implementation (OFSI).

Such actions may include disabling frontend access, blocking specific IP addresses or wallets, or other technical or administrative measures as we deem appropriate to comply with applicable laws and regulations.

• To use certain features of the Services you may need to connect a compatible wallet address and interact with smart-contracts.
• You are responsible for all access to and usage of the Services via your wallet address or credentials, whether or not authorised by you.
• Protect your wallet, credentials, private keys and any authentication mechanism. If you lose control of your wallet or private key you may permanently lose access to your assets, and we cannot retrieve them.

You agree not to use, nor assist or facilitate others to use, the Services for any unlawful or improper purpose, including (but not limited to):

• Using the Services while located in, or as a citizen of, a jurisdiction from which access is prohibited under these Terms or applicable law.
• Evading or bypassing any location-based or access restrictions.
• Engaging in market manipulation, front-running, wash-trading, spoofing, layering or similar behaviours that interfere with fair and orderly functioning of the protocol.
• Impersonating any person or using a wallet or account without authorisation.
• Using the Services to facilitate money-laundering, terrorist financing, or other illicit or fraudulent activity.
• Reverse-engineering, disassembling or modifying any aspect of the Services in a manner that violates our rights or applicable law.
• Using the Services in any way that results in damage to, interruption or compromise of, the Services, infrastructure, other users or third-parties.

You acknowledge and agree that:

• Your use of blockchain networks, smart-contracts and digital assets involves significant risk. Network failures, forks, protocol malfunctions, bugs, hacks, cryptographic vulnerabilities or regulatory actions may result in partial or total loss of your assets.
• We do not control the smart-contracts, blockchain networks, underlying assets or third-party protocols that the Services interface with, and we are not responsible for their operation, security or availability.
• Neither we nor any of our affiliates guarantee uptime, performance, or that the Services are free of bugs or vulnerabilities.

• The Services are provided "as is" and "as available", without warranty of any kind, whether express, implied or statutory.
• To the fullest extent permitted by applicable law, we disclaim all warranties of merchantability, fitness for a particular purpose, non-infringement or that the Services will be uninterrupted or error-free.
• In no event shall 01 (or our officers, directors, employees, agents or affiliates) be liable for any indirect, incidental, special, punitive or consequential damages (including loss of profits, goodwill, data, or other intangible losses) arising out of or in connection with your use of or inability to use the Services, even if we have been advised of the possibility of such damages.
• Our aggregate liability to you for any claim arising under these Terms shall not exceed an amount equal to the total fees paid by you to us in the 12 months preceding the claim.

You agree to defend, indemnify and hold harmless 01, its affiliates, officers, directors, employees, agents and partners from and against any and all claims, damages, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of or in connection with (a) your access to or use of the Services, (b) your violation of these Terms or any applicable law, regulation or rights of a third-party, or (c) your wallet's use or misuse by others with your assistance.

All rights, title and interest in and to the Services, including our website, interfaces, design, software, documentation, trademarks, logos, trade-names and other intellectual property rights are owned by us or our licensors. You are granted a limited, non-exclusive, non-transferable licence to access and use the Services in accordance with these Terms. You may not copy, modify, create derivative works of, reverse-engineer or otherwise exploit any aspect of the Services except as permitted by law or our prior written consent.

We reserve the right, in our sole discretion, to modify or discontinue, temporarily or permanently, all or part of the Services (or your access thereto) at any time, without prior notice.

We may also revise these Terms from time to time; the "Last Revised" date at the top will be updated. Your continued use of the Services after such changes constitutes your acceptance of the updated Terms. If you do not agree to the new Terms, you must stop using the Services.

We may suspend or terminate your access immediately if you breach these Terms or for any reason, at our discretion.

• These Terms and any dispute arising out of or related to them shall be governed by and construed in accordance with the laws of the British Virgin Islands without regard to its conflict-of-laws rules.
• For any dispute that you and we cannot resolve amicably, you agree to submit to arbitration. You agree to resolve disputes by confidential, binding arbitration administered in British Virgin Islands. The arbitrator's decision shall be final and binding. You waive any right to trial by jury or class/collective action against us.

You represent and warrant that you (i) are not located in any jurisdiction subject to comprehensive economic sanctions, (ii) are not a person or entity prohibited by any applicable law from using the Services, and (iii) will not use or access the Services in violation of export control or sanctions laws. If you are a restricted person you must not access or use the Services.

We may, at any time and without notice,disable trading, restrict wallet access, or otherwise limit the use of the 01 frontendby any person or address we determine, in our sole discretion, to be (i) in or ordinarily resident in a restricted jurisdiction, or (ii) subject to sanctions or related restrictions.

You acknowledge and agree that such restrictions are mandatory legal obligations under applicable sanctions laws and do not entitle you to any claim, refund, or recourse.

If any fees or charges apply to the Services, they will be described on-platform or in a separate fee schedule. You are responsible for all applicable taxes, levies or other governmental charges arising from your use of the Services.

Your use of the Services is also subject to our Privacy Policy, which forms part of these Terms. Please review the Privacy Policy carefully for information regarding how we collect, use and share your personal data.

If you provide us with suggestions, bug reports, feature requests or other feedback ("Feedback"), you grant us a worldwide, royalty-free, fully-paid, transferable, sublicensable, perpetual licence to use and exploit such Feedback in any manner without attribution to you.

If any provision of these Terms is held invalid or unenforceable for any reason, the remaining provisions will continue in full force and effect. No waiver of any provision shall be effective unless made in writing and signed by an authorised representative of 01.

These Terms (together with any other documents or policies incorporated by reference) constitute the entire agreement between you and 01 regarding the Services and supersede all prior or contemporaneous oral or written agreements, proposals or communications between you and us.
